Terms and conditions

1. Contractual relationship

1.1 These Terms of Service (referred to as the “Terms”) constitute a legally binding agreement between you and the owner of TeleIn Establishment with Commercial Registration No. 1010787629 registered in the Kingdom of Saudi Arabia, which owns the Tele In platform (referred to as the “Establishment” or the “Platform”), and these Terms govern the relationship between the Establishment and the User, and set out the terms and conditions under which you may access and use the Platform, and related websites, applications, products, content, and the call center (collectively referred to as the “Services”). If you access or benefit from the Services, register on the Platform, listen to the displayed content, submit content through the Platform, or purchase through the Platform (collectively referred to as the “User”), and by using the Service, you agree and acknowledge without limitation or qualification to be legally bound by these Terms and are bound by them. If you do not agree to the Terms, you must stop accessing, using, or benefiting from the Services.

1.2 The Foundation reserves the right to unilaterally modify and change these terms at any time, and the platform may modify this agreement from time to time, and these changes shall be effective and legally binding on the user upon posting the updated changes on this site or posting the modified policies or any other terms related to the services provided or upon notifying you by any other means, and your continued use of the platform or your use of it after such posting constitutes your agreement to be bound by this agreement as amended and that you accept to be legally bound by these changes. The platform also has the right to terminate the agreement that concerns you with immediate effect, or in general to stop offering the platform services or prevent access to them or any part thereof, at any time and for any reason without prior notice.

1.3 If you use or benefit from the Services on behalf of a company or other entity, you acknowledge that:

  • You are authorized to bind that company or entity to these Terms and agree to them on behalf of that company or entity, and all references to, but not limited to, “you” and “your” in these Terms mean you, the End User, that company or entity, the business or entity and the person using the Platform Services through your account.

  • The Company or Entity is legally and financially responsible for your access to or use of the Services, as well as for access to or use of your account by others associated with the Company or Entity, including any employees or agents.

2. Platform Services and Ownership

2.1 The Services constitute a technical social platform that enables users of electronic device applications or websites owned by the owner of TeleIn Corporation with commercial registration number 1010787629 and available as part of the Services (collectively referred to as the “Application”) to obtain, manage and schedule knowledge services and/or development services and/or consulting services and/or professional services and/or entertainment services and/or social services. The “Guest” user who wishes to obtain the services offered on the Platform can agree with the “Host” user, including professionals, social influencers, specialists or experts who can provide services through the Platform either through video calls, telephone conversations or written conversations, whether for free or for a fee. Each User must create a User Account that enables him to access the Platform Services, benefit from the Services and Content provided by the “Host” User or the ability to provide Services to the “Guest” User, and any decision taken by the User regarding publishing Content or accepting Services is based on his own discretion, and each Service concluded between the “Guest” User and the “Host” constitutes a separate agreement between them, and you acknowledge on your part that the Platform does not provide any Services offered by the “Host” User itself, and its role is limited to providing the platform that brings together the “Guest” User and the “Host” User, and that all Services offered are provided by a third party registered on the Platform as a “Host” User and does not work for the owner of the TeleIn Establishment with Commercial Registration No. 1010787629 or the Tele In Platform.

2.2 You must be at least (18) eighteen years old or have reached the legal age of majority in your jurisdiction – if the legal age of majority in your country is different from 18 years – in order to be able to create an account on the platform and be able to benefit from the services provided, and you may not allow those under (18) eighteen years old to use your account or obtain the services provided through the platform unless they are accompanied by a legally adult person.

2.3 When registering for an account, you must provide certain personal information to Tele In such as your name, address, mobile phone number, age, and at least one valid payment method (either a credit card or an accepted payment partner). You agree to record and maintain accurate, complete and up-to-date information in your account. Failure to maintain accurate, complete and up-to-date information in your account, including designating an invalid or expired payment method, may result in your inability to access or use the Services or Tele In may terminate these Terms with you. You are responsible for all activities that occur under your account, and you agree to keep your account username and password secure and confidential at all times. You may not have more than one account unless otherwise authorized by Tele In in writing.

2.4 Ownership: The Tele In Platform, the Services and all rights thereto remain the exclusive property of TeleIn Corporation, Commercial Register No. 1010787629 or its licensors. Neither these Terms nor your use of the Services grants you any rights: (1) in or relating to the Services other than the limited license granted under these Terms; or (2) to use or reference in any manner the company names, logos, product and service names, trademarks or service marks of TeleIn Corporation, Commercial Register No. 1010787629 or its licensors.

3. Content provided by third parties:

3.1 The Tele In platform allows you to provide, publish, submit and send your content through specific packages on the platform that are provided to the user who wishes to benefit from the content provided by others, and you retain the ownership rights in any content you have provided or published through our services. You acknowledge that the services provided by others and their content, regardless of its type or form, are not subject to the control of the Tele In platform, and the Tele In platform does not endorse the services provided by others or their content, and the Tele In platform is not responsible in any way for any products, services or content provided by others through the platform, and you acknowledge that you acquit the Tele In platform from bearing any damage or liability that may be incurred by you or any other party as a result of benefiting from the content provided by others.

3.2 You acknowledge and agree that when you use or view content provided by others on the Services, you do so at your own risk. The content available on our Services is for general information only and is not intended to constitute advice on which you should rely. You should seek professional advice before taking or refraining from taking any action on the basis of the content on our Services or accepting or purchasing content provided by others.

3.3 You acknowledge and agree that when you submit, post or transmit User Content through the Services, you own such Content, or have received all necessary permissions or authorizations or are otherwise authorized by the owner of any portion of the Content to submit it to the Services, to transmit it from the Services to other third party platforms and/or to adopt any third party Content.

4. License:

Subject to your compliance with these Terms, Tele In grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (1) access and use the Tele In Platform on your own devices solely in connection with your use of the Tele In Platform; and (2) access and use any content, information or related materials that may be made available through the Tele In Platform, in all cases solely for your personal, non-commercial use. Tele In, its parent company and its licensors reserve any rights not expressly granted in this Agreement.

5. Liability and Indemnity:

5.1 Disclaimer: You acknowledge that the Service and User Services are provided on an “as is” and “as available” basis, and that you acknowledge that Tele In disclaims all representations and warranties, express, implied or statutory, not expressly set out in these Terms, including the implied representations of merchantability, fitness for a particular purpose, and non-infringement. Tele In makes no representations, warranties or guarantees regarding the reliability, timeliness, quality, suitability or availability of the User Services or any of them during the use of such Services or that the Services will be uninterrupted or error-free, nor does Tele In guarantee the quality, suitability, safety or ability of the User Services providers. You agree that the entire risk arising from your use of the User Services or any of the Services or content posted in connection with such use remains with you.

5.2 Limitation of Liability: Tele In, its parent company, its partners or its employees shall not be liable for any direct, indirect, incidental, special, incidental, punitive or consequential damages or loss of profits or revenues, including lost profits, lost data or damages to the user related to the use of the Tele In platform or the services, arising from: (a) your access to or use of or inability to access or use the services; (b) any conduct or content of other users or third parties on or through the services; (c) unauthorized access, use or modification of your content; (d) any transaction or relationship between you and a user of the platform or any other party; or (e) any content provided by users, even if Tele In, the company or its partners have been advised of the possibility of such damages.

5.3 Indemnification: You agree to indemnify and hold harmless Tele In, its officers, directors, employees, and agents from and against any and all claims, demands, losses, liabilities, obligations, and expenses, including attorneys’ fees, arising out of or in connection with: (1) your use of the Tele In Platform and the Services, User Services, or content or data obtained through the use of the Platform; (2) your breach or violation of any of these Terms; or (3) your violation of the rights of any third party, including User Service Providers.

6. . Terms of Use:

6.1 In connection with your use of the Tele In Platform and your participation in or use of the User Services, you agree and acknowledge that you will not: (1) impersonate any person or entity; (2) stalk, threaten or harass any person (including other users who use the Service); (3) violate any law, statute, rule, permit, decree or regulation, including but not limited to: violation of the Anti-Fraud and Breach of Trust Law, violation of the Anti-Money Laundering Law, violation of the Cybercrime Law; (4) interfere with or disrupt the Services, the Tele In Platform, or servers or networks connected to the Tele In Platform; (5) submit information or interact on the Tele In Platform or in connection with the Services in a manner that is fraudulent, inaccurate, misleading (whether directly or by omission or failure to update information), defamatory, libelous, abusive, obscene, infringing, offensive, sexually oriented, threatening, harassing or illegal; (6) encourage the use of drugs or alcohol; (7) use the Tele In Platform in any manner that violates the rights of any third party, including, without limitation: intellectual property rights, copyrights, patents, trademarks, trade secrets or other proprietary rights, rights of publicity or privacy; (8) post, email or otherwise transmit any malicious code, files or other programs designed to interrupt, damage, destroy or limit the functionality of any computer software, hardware or telecommunications equipment or to steal or expropriate any system, data or personal information; (9) forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Platform; (10) “frame” or otherwise display a mirror image of any portion of the Tele In Platform, without our prior written permission, or use meta tags, code or other devices containing any reference to us in order to direct any person to any other website for any purpose; (11) modify, adapt, translate, reverse engineer, decompile, decompile or disassemble any portion of the System or any software used on or in connection with the Tele In Platform; (12) rent, lease, loan, sell, redistribute, license or sublicense the Tele In Platform or access to any portion of the Tele In Platform; (13) use any robot, spider, site search/retrieval application or other manual or automatic device or process to retrieve, index, scrape, extract, or otherwise extract a copy of or circumvent the web navigation or presentation of the Tele In Platform or its contents; (14) link directly or indirectly to any other website; (15) transfer or sell your user account, password and/or identification to any third party; (16) discriminate against or harass anyone on the basis of race, national origin, religion, sex, gender identity, physical or mental disability, medical condition, marital status, age, or sexual orientation; (17) induce others to engage in the prohibited activities above. If you do any of the above while participating in the Services, you may be permitted to refuse to provide the Services to you or/and to refuse to continue providing the Services to you.

6.2 The user undertakes not to violate any of the provisions of the Saudi Cybercrime Law, and in the event of his violation of the provisions of the Saudi Cybercrime Law, this is subject to his sole responsibility and will, and there is no responsibility on the part of the Tele In platform as a result of the user’s violation of the applicable regulations, as the user is fully responsible for his account and his dealings with others, and the Tele In platform always has the right to take what it deems appropriate regarding any account or user who violates the provisions of the Saudi Cybercrime Law, whether by notifying the official authorities or simply closing the electronic account or canceling the user’s membership on the platform.

6.3 You acknowledge and undertake to use the Tele In platform with all seriousness and honesty, and to abide by all the legal and legitimate controls and regulations in force in the Kingdom of Saudi Arabia. You also acknowledge to disclose true, correct, updated, complete and legal information about yourself as required during registration with the Tele In platform and undertake to update your data in the event of a change in reality or, if necessary, and the Tele In platform has the right at any time to conduct any investigations it deems necessary by itself or through a third party and to request you to disclose any information or documents to prove your identity or ownership of your funds or your account.

7. Payment Terms and Fees:

7.1 Use of the platform. Tele In platform uses a verified third party to process electronic payments, and Tele In platform provides, through its partners, the online payment and settlement system through the payment options available on the platform or through any payment method it provides from time to time. The provision of the Tele In platform of the online payment service through the platform is for the purpose of facilitating and preserving the rights of Tele In platform users, and the management of the Tele In platform has the right to cancel, amend or change any of the payment methods that it has made available on the platform. In no case may Tele In platform users agree to pay directly outside the platform in any way, and Tele In platform and the institution reserve any legal claim against violating this and demanding the fees due to it.

7.2 The User must provide one or more Payment Methods, and you authorize us to charge any Payment Method associated with your account if your primary Payment Method is declined or is no longer available to us for payment of the Service Fees. You remain liable for any uncollected amounts. If any payment is not successfully settled, due to expiration, insufficient funds or otherwise.

7.3 . All charges and fees for use and purchase of Services through the Tele In Platform shall be due immediately and payment shall be facilitated through the Tele In Platform using the preferred payment method designated in your account, and you shall be provided with a billing receipt via email or any other means. The Tele In Platform reserves the right to impose, cancel or amend any fees at any time at the sole discretion of the Tele In Platform, and the fees and commissions of the Tele In Platform may be changed or revised at any time without your consent and you acknowledge and agree that the Tele In Platform shall notify you of any amendment to this Agreement under which your obligations are multiplied or your rights are diminished in accordance with any amendments that may be made to the Terms of Use and Payment Terms, and you will be allowed to continue using the Tele In Platform or cancel your account.

7.4 The Tele In platform will retain the value of the amounts for the services purchased through the Tele In platform until the agreed services are implemented for the benefit of the guest user. It also has the right to prevent the completion of any payment process that violates the rules and provisions of the terms of service or to cancel any purchase or sale order as a result of a technical or technical error in the platform or for violating the regulations established in the Kingdom of Saudi Arabia.

7.5 Billing Cycle:

  • The Host User acknowledges and agrees that Tele In Platform has the right to deduct its fees and commissions for the services sold through the Tele In Platform and transfer the amounts of the Host User every (14) fourteen days according to the Host User’s approved balances with the Tele In Platform.

  • The guest user acknowledges and agrees that Tele In platform will keep the refunded amounts in his account for any purchase in the guest user account balance and he can use the balance to purchase any other services offered on Tele In platform and he cannot claim a refund in cash within a period of two months. Tele In platform also has the right to deduct any fees due on purchases and electronic payments when refunding any amounts for services that were cancelled or that the host user did not commit to implementing or for any other reason.

7.6 The user acknowledges that the price of the services provided in his account and which he displays shall be determined in accordance with the known market value, and the Tele In platform has no relation in any way to the poor or exaggerated estimation of the cost of the services displayed in the accounts on the Tele In platform, as their estimation in the known manner is an obligation incumbent upon the user.

7.7 The platform does not impose any conditions on the value of the services provided by users or their pricing or determination, and the platform has the right to review the prices of users’ services and in the event of suspicion of the user’s violation of any crime criminalized by the system by blocking or suspending the user’s account, and it has the right to notify the relevant government agencies in a non-binding manner, and to share any information related to users or beneficiaries with government agencies, and this is not considered a violation of confidentiality conditions or a breach of their privacy.

8. Intellectual Property:

8.1 We respect intellectual property rights and ask you to do the same, and it is a condition of your access to and use of the Services that you agree not to use the Services to infringe any intellectual property rights. We reserve the right, with or without notice at any time and in our sole discretion, to deny access to and/or terminate the accounts of any user who infringes or is alleged to infringe copyrights or other intellectual property rights.

8.2 Any User Generated Content you submit remains your property. However, by submitting User Generated Content through the Tele In Platform, you grant Tele In a worldwide, perpetual, irrevocable, non-transferable, royalty-free license, including the right to sublicense, to use, copy, modify, create derivative works from, distribute, publicly display, publicly perform and otherwise exploit such User Content in all forms and distribution channels now known or hereafter developed, without further notice to you or your consent and without the need to pay you or any other person or entity. You hereby agree to grant Tele In a worldwide, royalty-free, non-exclusive license to publish, modify, adapt, aggregate, host and use: (1) Your Content (including, without limitation, reproducing in physical form, publishing, performing, communicating to the public and making modifications to Your Content) for the purpose of providing you with the Service, and (2) if Tele In provides any community forum for users of the Service to exchange user advice and post comments and opinions, any comments, opinions and other materials you upload or post to such forum or to its social media accounts.

8.3 You represent and warrant that neither the User Content nor your submission, uploading, posting or otherwise making available of such User Content nor the Tele In Platform’s use of the User Content will infringe, misappropriate or violate any third party’s intellectual property rights, proprietary rights, copyright or privacy rights or will result in a breach of any applicable laws or regulations.

9. Governing Law

9.1 Any dispute, controversy or claim arising out of or relating to this Contract, or the breach, termination or invalidity thereof, shall be settled by arbitration administered by the Saudi Center for Commercial Arbitration in accordance with its Arbitration Rules.

9.2 If you are the party initiating arbitration against the Tele In platform or its owner, you acknowledge that you are responsible for paying all arbitration fees and related administrative fees to the arbitration body.

10. Force Majeure:

Tele In shall have no liability and shall be exempt from all contractual obligations and liabilities (for example for damages) if its performance of these Terms is affected by a force majeure event. For the purpose of this clause, the term “force majeure” means and includes any event that was not within the control of Tele In, or was not reasonably foreseeable, including, without limitation, any natural disaster such as thunderstorms, floods, storms, fires, national emergency, strike or similar labor action or unavailability of the Internet for reasons beyond the control of Tele In.
